This License Agreement (this “Agreement”) sets forth the terms and conditions for the use of VRoid custom items, 3D models, and other digital content (the “Content”) provided by kokeet (“we,” “us,” or “our”). By purchasing or acquiring the Content, you (meaning an individual who uses the Content) are deemed to have agreed to this Agreement. If you are a minor or other person with limited capacity to act, you must obtain consent from a parent, guardian, or other legal representative before agreeing to this Agreement.

Article 1 (Grant of License)

  1. We grant you a non-exclusive, worldwide, and perpetual license to use the Content for any commercial or non-commercial purpose (this “License”), provided that you comply with all of the following conditions:
    1. You have lawfully purchased or acquired the Content in a manner approved by us.
    2. You comply with this Agreement.
  2. This License includes a limited sublicense right that allows you to use the Content on third-party online platforms (including VRChat, cluster, and VRoid Hub) (the “Third-Party Platforms”). When you upload the Content to a Third-Party Platform, the operator of that platform may use the Content only to the minimum extent necessary to provide its services. However, this does not apply if the Third-Party Platform’s requirements or terms of use are unreasonably disadvantageous to us; or if it is reasonably foreseeable that the operator will cause damage or disadvantage to us.
  3. When using the Content, attribution is optional.
  4. If you use the Content in a manner not described in this Agreement, you must obtain our prior express permission.

Article 2 (Scope of Use)

  1. Under this License, you may use, copy, or modify the Content for the following purposes:
    1. On Third-Party Platforms:

      1. Use as an avatar for your own self-identification or self-expression.
      2. Use as a non-player character (NPC) or exhibit, provided that it is not operated by third parties.

      This permission also covers incidental appearances of the Content in third-party publications, broadcasts, websites, or other media.

    2. For Creative Activities and Communications:

      1. Creation, publication, printing, and distribution of images or videos.
      2. Use in printed or electronic publications.
      3. Use in video productions, live streaming (including YouTube, SHOWROOM), or broadcasts.
      4. Manufacturing and distribution of acrylic stands, can badges, or other merchandise produced with images created from the Content.
      5. Adaptation of bones, weights, or UV maps from the Content for the creation and distribution of new costumes, props, or other items compatible with the Content.
  2. You may use the Content in materials that include sexually explicit or violent depictions. However, when publishing or distributing such materials to third parties, you must comply with the guidelines, ratings, and other regulations provided by the media or platforms you use.
  3. You may commission a third party to set up or modify the Content, whether for a fee or free of charge, provided that both parties hold the License.
  4. You may create and distribute derivative works inspired by the Content that do not reuse the Content itself (so-called “doujin works”, also known as fan art), whether for a fee or free of charge. However, this does not apply to works that are likely to be mistaken for our official works, or interfere with our operations.

Article 3 (Ownership of Rights and Open-Source Software)

  1. All intellectual property rights and other rights in the Content belong to us or third parties. Except as expressly provided in this Agreement, we do not grant you any rights.
  2. The Content may include third-party software (including open-source software). Such software is licensed to you under the terms of the applicable license (the “Third-Party License”). This Agreement does not limit your rights under the Third-Party License, nor does it grant you any rights that replace that license. If there is any inconsistency or conflict between this Agreement and the provisions of any Third-Party License, the latter will prevail.
