This License Agreement (“this Agreement”) defines the terms and conditions for the virtual content, such as VRoid files and 3D models (“the Content”), provided by kokeet (“we,” “us,” “our”). By purchasing or downloading the Content, the licensee (the “User”) is deemed to have agreed to this Agreement. If the User is a minor, the User must obtain consent from a parent or guardian in advance to agree to this Agreement.

1. Definitions

Definitions of terms used in this Agreement are as follows:

  1. “the User” means any individual who has lawfully obtained the Content by purchasing or downloading from us.
  2. “avatar” means any images, icons, 3D models, etc., used to indicate the existence of something.

2. Grant of License

  1. We grant the User a non-exclusive, worldwide license (the “License”) to use the Content under the terms and conditions of this Agreement in perpetuity.
  2. Permission to use the Content includes an extended sub-license that covers the use of the Content on other third-party services. By authorizing these third-party services to use the Content, the scope of the License covers the minimum necessary to fulfill the purpose of licensing to use the Content on the third-party services. However, the sub-license will not extend to circumstances where the features, operations, or terms of use of a particular system are damaging or unjust to us, or where the terms of use for the system would result in loss(es) or put us at a disadvantage.
  3. Any use of the Content in a manner not described in this Agreement requires explicit permission from us in advance.

3. Ownership of Rights

  1. The intellectual property rights of the Content belong to us, third parties, or both. Unless otherwise provided in this Agreement, we do not grant any rights to the User.
  2. The Content may contain third-party toolkit/plug-in/program/materials, open-source toolkit/plug-in/program/materials, or both. In such a case, the License is granted in accordance with the terms and conditions under the respective third-party or open source license(s) (the **“**Third-party License(s)”). This Agreement does not limit the rights enjoyed by the User under the Third-party License(s), nor does this Agreement confer any other rights. If there is any inconsistency or conflict between this Agreement and the Third-party License(s), the latter will prevail.

4. Scope of Use

  1. The User is allowed to use (including modification) the Content for any of the following purposes, whether for commercial or non-commercial use. Credit is optional.

    1. Use as an avatar or other purposes on online services (including VRChat, cluster, etc.).
    2. Create images and videos for posting on websites/social media and printing paper copies.
    3. Use in publications and electronic publications.
    4. Use in video production, live streaming (including YouTube, SHOWROOM, etc.), and broadcasting.
    5. Instruct a third party to set up and make modifications
    6. Create and distribute new costumes, accessories, textures, etc., that conform to the Content by using or not using weights and UVs.

  2. The user is allowed to create and distribute derivative works using the Content as a theme/bedrock, without directly using the original version. whether for commercial or non-commercial purposes. Credit is optional.

    <aside> đź’ˇ Do not distribute works that could be misinterpreted as official, such as 3D models that directly imitate the design of the Content.

  3. If the User uses the Content for content that contains any of the following expressions, the User must restrict the content to be viewable only by persons aged 18 or over.

    1. Explicit sexual expressions that stimulate sexual feelings.
    2. Excessively violent or brutal expressions.

5. Prohibited Acts and Termination

  1. The User must not engage in any of the following acts when using the Content:
    1. Infringement of our or any third party's intellectual property rights, privacy rights, infringement of legal name (rights to use the name), portrait rights, etc.
    2. Any act that violates the terms of service provided by us or any third party and causes damage.
    3. Any act that may incur losses to us or any third party, or any act that may damage public confidence in them or their reputation.
    4. Defamation of individuals or organizations, or damage to their reputation.
    5. Any act that violates or may violate laws, and regulations, or public order and morals.
    6. Any act intended to advertise, promote, or recruit for any particular political or religious group.
    7. Transfer, lend, publicly transmit, or otherwise distribute the Content (including modified versions) to non-Users for their use.
    8. Assign, lend, or otherwise dispose to any third party the rights and obligations under this Agreement.
    9. Hindrance to the distribution, update, or stopping the release of the Content by us.
    10. Any other act that we deem inappropriate based on reasonable grounds.
